Terms of Service

Effective March 15, 2026

1. Introduction and acceptance

Welcome to MedFX (“we,” “us,” “our”), a trade name of Untappd Labs Inc., a Delaware C Corporation. These Terms of Service (“Terms”) govern your access to and use of the MedFX website at medfx.com and the payment collection and payout services we offer (together, the “Services”).

By accessing or using the Services you agree to be bound by these Terms and by our Privacy Policy, Acceptable Use Policy and AML and Sanctions Policy. If you use the Services on behalf of a clinic or other business, you represent that you have authority to bind it, and “you” includes both you and that business. If you do not have that authority or do not agree to these Terms, you must not use the Services.

2. Eligibility

To open an account you must:

  • Act on behalf of a legally formed clinic, practice or other business, and use the Services for business purposes only.
  • Be at least 18 years old and have legal capacity to enter into binding agreements.
  • Hold, and keep current, every licence, registration and permit needed to practise and to receive payment for your services in the countries where you operate.
  • Not be located in, organised under the laws of, or owned or controlled by persons in, a country or territory subject to comprehensive sanctions imposed by the United States (including by the Office of Foreign Assets Control), the European Union, the United Kingdom or the United Nations.
  • Successfully complete the verification described in Section 4.

We may update eligibility requirements at any time to comply with law, regulator guidance or partner requirements.

3. Description of the Services

MedFX helps clinics receive payments from patients who live in other countries. We issue payment instructions, receive transfers made by or for patients, convert funds and send local currency to the clinic’s bank account over local payment rails.

MedFX is a financial technology company, not a bank. MedFX does not accept or hold customer deposits. Payment, foreign exchange and local-rail services are provided by licensed banking partners, subject to their terms, eligibility requirements and jurisdictional restrictions. Some transfers settle over stablecoin networks between the fiat legs.

MedFX is not a healthcare provider, medical travel agency or referral service, and it is not an agent of any clinic or patient. We do not recommend, rate or endorse any clinic, practitioner or procedure, and nothing in the Services is medical, legal, tax or investment advice.

4. Accounts and verification

To use the Services you must create an account and provide accurate, complete and current information about your business, its owners and the people who act for it. Verification may require company registration documents, professional licences, identification for owners and directors, proof of address, proof of the bank account that will receive payouts and information about your expected volumes and the countries your patients come from.

You must keep your credentials confidential and tell us promptly at support@specie.finance if you suspect unauthorised access. We may approve, reject, restrict, suspend or close an account at any time where we reasonably believe it is necessary for compliance, security or risk reasons. Verification is an internal check and is not an endorsement or certification of your business.

5. Payments, fees, exchange rates and taxes

  • Quote before you confirm. Fees, the exchange rate and any applicable taxes are disclosed before a transaction is confirmed. Fees are agreed with you in writing and are not published on our website.
  • Estimates. Settlement times shown on the website or in conversation are estimates, not guarantees. They depend on the payer’s bank, the payment rails involved, bank cut-off times, holidays, compliance reviews and third-party networks.
  • Limits. Minimums and maximums apply to each rail and may change. We may set additional limits based on risk.
  • Exchange rates. Rates move. The rate that applies to a transaction is the rate shown when you confirm it, or, where we state otherwise, the rate at the time the funds are converted.
  • Taxes. Fees are exclusive of applicable taxes. You are responsible for your own tax obligations, including those that arise from the income you receive and from foreign-exchange operations in your country.
  • Payout details. You are responsible for giving us correct bank details. Funds sent to details you provided are treated as delivered.

6. Clinic responsibilities

You are solely responsible for:

  • Your licences, your clinical care and your compliance with healthcare, advertising, consumer-protection and tax laws.
  • Your agreement with each patient, including price, scope of treatment, deposits, refunds and cancellations.
  • Giving patients accurate payment instructions and making sure each payment is for treatment actually agreed.
  • Not sending MedFX medical records, health information or other special-category data.
  • Telling us promptly about disputes, complaints, regulatory inquiries or changes to your ownership, licences or bank details.

7. Patients and other payers

Patients and others who pay you through MedFX are not our customers and we are not a party to your agreement with them. We do not assess the quality, safety or outcome of any treatment. Disputes about treatment, price or refunds are between you and the patient. We may provide payment records on request, and we may hold, return or report payments as required by law, by our partners or by our compliance policies.

8. Returned, recalled and reversed payments

A bank transfer can be returned, recalled or reversed under the rules of the network it travels on, for example because of a payer error, fraud, a sanctions or compliance concern, or a bank request. If funds that we have paid to you are later returned or reversed, you agree to repay us on request, and we may set off the amount against future payouts or any balance we owe you.

9. Compliance, holds and reporting

You represent that your use of the Services complies with all applicable laws, including sanctions, export control, anti-money-laundering, anti-bribery, privacy and healthcare laws. We may delay, hold, restrict, decline or reverse a transaction where we reasonably believe it is necessary for compliance, fraud prevention or partner policy. We may share information with partners, regulators and law enforcement, and we may be legally prohibited from telling you that we have done so.

10. Prohibited activities

You may not use the Services in any way described in our Acceptable Use Policy, including to receive proceeds of crime, to evade sanctions, to process payments for goods or services you are not licensed to provide, to resell the Services, or to process payments for third parties without our written agreement.

11. Digital assets

Some transfers settle over stablecoin networks. Digital assets and the networks they run on carry technology, market and liquidity risk, including possible delay or loss. You are not required to hold digital assets, and we do not offer investment products. Digital assets are not legal tender and are not insured by the FDIC or any government deposit-insurance scheme.

12. Intellectual property

The Services, the MedFX name and logo, and all content other than your own are the property of Untappd Labs Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services under these Terms. All rights not expressly granted are reserved.

13. Disclaimers and limitation of liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted or error-free, that a payment will arrive by a particular time, or that any exchange rate will remain available. To the maximum extent permitted by law, neither we nor our affiliates, officers, employees, partners or licensors will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the Services, however caused.

Our total liability to you for all claims arising out of or relating to these Terms or the Services will not exceed the fees you paid to us in the twelve (12) months before the event that gave rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless MedFX, Untappd Labs Inc. and their officers, directors, employees, agents and partners from claims, losses, liabilities, damages and expenses (including reasonable legal fees) arising from your use of the Services, your clinical services, your agreements with patients, your breach of these Terms or of law, or your infringement of any third party’s rights.

15. Third-party services

The Services depend on third parties, including banks, payment networks, foreign-exchange providers, stablecoin networks and infrastructure providers. We are not responsible for their acts, omissions or availability. Your use of services supplied by partners may also be subject to the partners’ own terms.

16. Suspension and termination

We may suspend or terminate your access at any time, with or without notice, including for breach of these Terms, suspected fraud or illegal activity, false or incomplete information, a partner or regulator request, or a change in our risk assessment. You may close your account at any time by contacting support@specie.finance, after any pending transactions have settled. Sections that by their nature should survive termination will survive.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration before the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Wilmington, Delaware. Claims may be brought only in your individual or business capacity and not as part of any class, consolidated or representative proceeding. Either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

18. Changes to these Terms

We may change these Terms at any time. If a change is material we will update the effective date and, where practicable, notify you by email or through the Services. Continued use after the effective date means you accept the changes.

19. General

If any provision of these Terms is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. These Terms, with the policies they reference, are the entire agreement between you and us about the Services. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, war, labour disputes, banking or network outages and acts of government.
